Terms and Conditions

• Tara App: The mobile application provided by Aedia Technology to facilitate transportation services and related functionalities.
• User: Any individual who registers, accesses, or uses the Tara app.
• TaraRide:A motorcycle transportation service for individual passengers.
• TaraCar:A car transportation service for multiple passengers for a single user.
• TaraVan:A shared van transportation service for multiple passengers for multiple users.
• Tara Buddy: Refers to an independent third-party service provider or referred to as a partner rider.
• Services: All functionalities, features, and operations offered through the Tara app.

User Representations

• They are at least 18 years old or meet the age of majority in their jurisdiction.
• All information provided during registration is accurate and up to date.
• They will not use the App for illegal or unauthorized purposes.

Company Representations

• It will use commercially reasonable efforts to ensure the availability and reliability of the App.
• User data will be handled in accordance with applicable privacy laws and the App Privacy Policy.

User Obligations

• Comply with all applicable laws while using the App.
• Maintain the confidentiality of their account credentials.
• Treat other Users (App Users and Riders) respectfully and refrain from abusive behavior.

Limitations of Liability

• The Company does not guarantee uninterrupted access to the App or the Services and shall not be held liable for:
• Technical issues or system downtime.
• Any loss or damage arising from interactions between Users and Riders.
• Actions of third parties, including Riders, or other Users.

• Users agree to pay all applicable fees and charges associated with the use of the services as specified in the prompt pricing matrix provided by the Company.
• Payments shall be made through the designated payment methods accepted by the Company. Users must ensure that payment details provided are accurate and up to date.
• The Company reserves the right to modify its fees and charges at any time, with prior notice provided to users. Continued use of the services after such changes constitutes acceptance of the updated fees.
• All payments are non-refundable unless otherwise stated in the refund policy.

• The Tara Wallet allows users to store credits for use within the platform. Credits can be purchased or earned through promotional offers.
• Credits stored in the Tara Wallet are transferable and can be used for the payment for all the services in the platform, but it is non-refundable, and cannot be exchanged for cash.
• Users are responsible for maintaining the security of their Tara Wallet. The Company shall not be liable for unauthorized access resulting from the user’s negligence.
• The Company reserves the right to revoke or suspend credits in cases of misuse, fraud, or violation of terms and conditions.

Ownership and License Grant

• All content, trademarks, logos, and intellectual property associated with the services are owned by the Company or its licensors.
• Users are granted a limited, non-exclusive, non-transferable license to access and use the services for personal and non-commercial purposes.
• Users may not copy, modify, distribute, sell, or lease any part of the services without prior written consent from the Company.

Restrictions

• Unauthorized use of the intellectual property may result in termination of services and legal action.

• Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the use of services.
• Confidential information shall not be disclosed to any third party without prior written consent unless required by law.
• Obligations of confidentiality shall survive termination of the agreement.

• The Company is committed to protecting user privacy in compliance with applicable data privacy laws and regulations.
• Personal data collected during registration and service use shall only be used for legitimate purposes outlined in the Privacy Policy.
• Users have the right to access, modify, and request deletion of their personal data, subject to applicable laws.
• The Company implements industry-standard security measures to protect user data from unauthorized access, disclosure, or misuse.
• Any data breaches or incidents will be promptly reported to affected users and relevant authorities as required by law.

• The services may contain links to third-party websites, applications, or services. Users acknowledge that any interactions with such third parties are solely at their own risk.
• The Company does not endorse, control, or assume responsibility for third-party content, products, or services.
• Users are encouraged to review the terms and privacy policies of any third-party platforms before engaging with them.

• Users agree to indemnify, defend, and hold harmless the Company, its affiliates, and employees from any claims, damages, losses, liabilities, costs, or expenses arising out of:
• User’s violation of these Terms and Conditions;
• Misuse of the services;
• Infringement of any rights of a third party.

• To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the services.
• The Company’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by the user for the services in the preceding six months.

• The services are provided "as is" and "as available" without warranties of any kind, either express or implied.
• The Company disclaims any warranties of merchantability, fitness for a particular purpose, and non-infringement.
• The Company does not guarantee that the services will be uninterrupted, secure, or error-free.

• All notices or communications under these terms shall be in writing and sent to the designated contact provided by the Company or User.
• Notices shall be deemed to have been received when sent via email or through the messaging system on the App.

• Users may not assign, transfer, or delegate their rights or obligations under these Terms and Conditions without prior written consent from the Company.
• The Company reserves the right to assign or transfer its rights and obligations under these Terms and Conditions without notice or user consent.

• These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
• Any disputes arising under these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in the Philippines.

• Any disputes, controversies, or claims arising out of or relating to these Terms and Conditions shall be resolved through final and binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
• The arbitration shall be conducted in English and held in Puerto Princesa City, Palawan, Philippines.
• Each party shall bear its own costs and expenses related to the arbitration, except as otherwise determined by the arbitrator.
